The acquisition of the shares shall be made by 1st July 2013. The closing as at 1st July 2013 depends upon the occurrence of certain closing conditions. By todays perspective the Board of Directors acts on the assumption that the conditional assumptions will be met by the seller. The fixed purchase price for the acquisition of all shares of Ozito amounts to about EUR 13 million. In addition a variable purchase price component of about EUR 20 million was agreed. The amount of the variable purchase price component depends on achieving results in the next 4 years. The share deal is cash-free / debt-free and taking into account the working capital. Ozito is well-known to the consumer and a long established brand in the price entrance segment at the power tool and garden tool section on the Australian and New Zealand market. Ozito Industries Pty Ltd's financial year (30 June) is different from the calendar year. Ozito achieved a turnover of approximately EUR 70 million in the year 2011/2012. The turnover include their related business activities. By integrating Ozito Industries Pty Ltd into the Einhell Group, Einhell will be a strong regional provider in the DIY segment in Australia and New Zealand. The main customer of Ozito Industries Pty Ltd is the expansive DIY chain Bunnings, which belongs to Wesfarmers Group. With this acquisition a well-known brand in the Australian market will be acquired; thereby Einhell gains access to Australia's DIY chain Bunnings, which has about 300 stores. So Einhell is able to generate considerable additional sales volume in a growing DIY market and to benefit from the potential yield in the Australian market.
