Currently it is planned that the Wholesale and Food Business as well as associated activities would be transferred to a separate entity through the demerger, whereas the Consumer Electronics Business would remain as part of the existing METRO AG. This will create two strongly positioned market leaders in their respective sectors. METRO shareholders shall hold shares in both companies in accordance with their current stakes. The strategic and organizational focus of both independent companies on their respective activities will open up new growth perspectives. Simultaneously, the demerger will unlock value potential at METRO GROUP and as such significantly increase stock market value. To date, neither the management board nor the supervisory board of METRO AG have taken a decision on the demerger of METRO GROUP. Both boards will come to a final assessment after the completion of the ongoing review. Should the management board and the supervisory board decide in favor of a demerger, the ratification by a METRO AG General Shareholder Meeting is required. Each of the three anchor shareholders has indicated to METRO AG that they will further support the process.
