Family shareholders announce sale of shares in Hella KGaA Hueck & Co. The leaders of the pool of family shareholders of Hella KGaA Hueck & Co. have notified Hella KGaA Hueck & Co. that the family shareholders intend to sell a total of up to 13,888,889 shares in Hella KGaA Hueck & Co. This is equivalent to a total of 12.5 per cent in the share capital of Hella KGaA Hueck & Co. The shares shall be placed with institutional investors in an accelerated bookbuilding process. Bankhaus Lampe and Deutsche Bank will act as joint bookrunners in the share placement. The shares to be placed shall be taken from holdings which are not subject to the pool restrictions. As of 10 November 2014, these holdings comprised c. 24.8 per cent of the share capital of Hella KGaA Hueck & Co. The sale does not affect the pooled holdings of the family shareholders which comprise c. 60 per cent of Hella KGaA Hueck & Co.'s share capital. The consummation of the intended sale would increase the free float to up to 27.7 per cent of the share capital of Hella KGaA Hueck & Co. Reportedly, the participating family shareholders have agreed to a six-month lock-up period for their remaining shareholdings.
