Arrow Central Europe Holding Munich GmbH ("Arrow CEHM") announces that it currently has shares committed by way of acceptances to its voluntary tender offer and through direct agreements with shareholders of DATA MODUL Aktiengesellschaft Produktion und Vertrieb von elektronischen System ("DATA MODUL AG") (FSE: DAM) amounting to 49.11% of DATA MODUL AG's share capital. The tender offer will not be completed if less than 50% of DATA MODUL AG's shares are committed to Arrow CEHM at the end of the acceptance period on April 7, 2015, 24:00 hours (Frankfurt am Main local time). On January 28, 2015, Arrow CEHM, a wholly owned subsidiary of Arrow Electronics, Inc. announced its decision to acquire all outstanding shares in DATA MODUL AG for a purchase price of EUR 27.50 per share. Arrow CEHM also announced that it had concluded conditional purchase agreements and irrevocable undertakings with some of DATA MODUL AG's key shareholders in relation to the purchase of approx. 37% of DATA MODUL AG's share capital. Arrow CEHM launched its voluntary tender offer on February 23, 2015. In their reasoned opinion dated February 27, 2015 the management board and the supervisory board of DATA MODUL AG recommended the acceptance of the tender offer.
