PREOS Real Estate AG: Convening of an Extraordinary Virtual Shareholders' Meeting on 15 September 2020 and planned expansion of the Executive Board

Leipzig, 24 August - The Executive and Supervisory Boards of PREOS Real Estate AG (ISIN: DE000A2LQ850, in short: PREOS) have resolved today to convene an Extraordinary Shareholders' Meeting for 15 September 2020. The virtual Shareholders' Meeting will take place without physical presence of the shareholders or their authorized representatives (with the exception of the proxies appointed by the Company). Among other things, the Extraordinary Shareholders' Meeting is to resolve the transfer of the Company's registered office from Leipzig to Frankfurt/Main, a facilitated possibility for holding Supervisory Board meetings in view of the Covid 19 pandemic and the possibility of a facilitated form of granting non-cash dividends. Furthermore, a new authorization to acquire own shares shall be resolved.

Moreover, a new Supervisory Board member is to be elected at the Shareholders' Meeting following the resignation of Supervisory Board member Christian Jäger from the Supervisory Board with effect as of the end of 30 September 2020. Mr. Jäger will be engaged in the operative business of PREOS in future. Prof. Dr. Zoltán Ádam Zomotor, Professor of Computer Science and Head of the Computer Science Program at the Baden-Wuerttemberg Cooperative State University in Stuttgart, will be proposed as a new member of the Supervisory Board from 1 October 2020. Prof. Zomotor's candidacy is based on the fact that technology and digitalisation are becoming increasingly important in the real estate sector as well, and in view of the tokenisation of PREOS shares by publity AG that is currently being initiated.

Furthermore, in view of the company's ambitious growth targets (see ad hoc notification dated 7 August 2020), the Supervisory Board has decided to supplement the Executive Board with an expected minimum of two additional members. For this purpose, the Supervisory Board shall be enabled by a stock option program 2020 proposed to the Extraordinary Shareholders' Meeting for resolution to offer and grant stock options to the members of the Executive Board as part of the variable Executive Board compensation. The process of expanding the Executive Board and granting options is expected to be completed by the end of January 2021.
