SPORTTOTAL AG: Green light for pan-European expansion of sporttotal.tv

- SPORTTOTAL International to generate revenues of more than EUR80 million through to 2024
- EBITDA margin planned to significantly exceed 50 percent
- Sights set on 7,000 cameras in Europe
- SPORTTOTAL Group anticipates extraordinary income of EUR25 million from the assigning of the intellectual property rights to the international markets

Cologne/Luxembourg, 13 June 2019. SPORTTOTAL AG's Management Board took the decision today to actively support the expansion plans of SPORTTOTAL International SA, Luxembourg and, to this end, to assign the intellectual property rights to the SPORTTOTAL technology platform for the markets outside Germany to SPORTTOTAL International SA, Luxembourg. SPORTTOTAL International SA, Luxembourg, will finance itself via a Reserved Alternative Investment Fund that is directly ready for launching. While Germany will remain the pilot and test market for sporttotal.tv, the focus has now been placed on European expansion: sporttotal.tv will equip amateur football clubs throughout Europe with special video technology which enables sports events to be transmitted live in a high quality and fully automatically using the "sporttotal.tv" platform. In an initial phase through to 2024, up to 7,000 cameras are to be installed at amateur football facilities across Europe. The aim is to generate revenues of more than EUR80 million through to 2024, together with local advertising partners, national sponsors, paid content and value-added services, with an EBITDA margin significantly higher than 50 percent. These earnings will be used to repay the RAIF loan. SPORTTOTAL International SA will pay SPORTTOTAL AG a total of EUR25 million over a period of three years for the assignment of the intellectual property rights to the international markets, EUR10 million of which to sporttotal.tv gmbh, a wholly-owned subsidiary of SPORTTOTAL AG, before the end of the financial year 2019. The SPORTTOTAL Group will book these payments at sporttotal.tv gmbh as extraordinary income. Furthermore, the SPORTTOTAL Group will participate directly in the development of SPORTTOTAL International SA as it holds a stake via sporttotal.tv of 51 percent in the shares. In future, SPORTTOTAL AG will account for SPORTTOTAL International SA as an affiliated company in accordance with the equity method (IAS 28). Even if the revenues and profit are not included directly in SPORTTOTAL AG's income statement, the success of this participation exerts a major influence on the performance of SPORTTOTAL AG.

An amount of EUR20 million is to be financed from the RAIF in the second half of the year.
The "SMLE Multi-Strategy Fund" of the Luxembourg-based Groupe Fuchs, which concentrates on sports, media, lifestyle and entertainment, is directly ready for launching. This Reserved Alternative Investment Fund (RAIF) is to provide SPORTTOTAL International SA with initial loan capital of EUR20 million to finance the gradual expansion of sporttotal.tv in line with requirements. To this end, further RAIF tranches are to follow on and finance the international expansion in a volume of up to EUR250 million. "This finance model has enabled us to realise our international growth with sporttotal.tv without a capital increase and to raise the value of our company", says Peter Lauterbach, CEO of SPORTTOTAL AG.
