AURELIUS Equity Opportunities publishes invitation to the annual general meeting

Munich, June 12, 2019 -AURELIUS Equity Opportunities SE & Co. KGaA (ISIN DE000A0JK2A8) today published the invitation to the 2019 annual general meeting, which will be held in Munich on July 19, 2019. It comprises the following agenda items:

1. Presentation of the separate financial statements of AURELIUS Equity Opportunities SE & Co. KGaA at December 31, 2018, as approved by the Supervisory Board, and the consolidated financial statements at December 31, 2018, as approved by the Supervisory Board, as well as the combined management report and Group management report for the 2018 financial year and the report of the Supervisory Board of AURELIUS Equity Opportunities SE & Co. KGaA for the 2018 financial year; resolution on the adoption of the separate financial statements of AURELIUS Equity Opportunities SE & Co. KGaA at December 31, 2018.

2. Resolution on the allocation of the distributable profit for the 2018 financial year:

The company's Executive Board and Supervisory Board will propose to the annual general meeting to be held on July 19, 2019 that the company will distribute a base dividend of EUR 1.50 per share (2018: EUR 1.50). In addition to the base dividend, AURELIUS Equity Opportunities SE & Co. KGaA will distribute a so-called participation dividend to the shareholders in the event of successful company sales. If additional company sales are realized in the time until the date of the annual general meeting, a pro-rata participation dividend will be paid to the shareholders on this basis.

3. Resolution on the ratification of the actions of the personally liable shareholder AURELIUS Management SE for the 2018 financial year.

4. Resolution on the ratification of the actions of the members of the Supervisory Board for the 2018 financial year.

5. Resolution on the ratification of the actions of the members of the Shareholders Committee for the 2018 financial year.

6. Resolution on the appointment of the auditor of the separate and consolidated financial statements for the 2019 financial year.

7. Resolution on the dissolution of the Authorized Capital 2015/I, the establishment of an Authorized Capital 2019/I with the possibility of excluding the subscription right, and the corresponding amendments to the Articles of Incorporation.
