Basler AG:
Basler intends to issue new bonus shares

Ahrensburg, April 3, 2019 - The management board and supervisory board of Basler AG, the leading global manufacturer of industrial cameras, will propose to their shareholders an issuance of bonus shares in a ratio of 2 bonus shares for every 1 existing share. "The aim is to further promote the trading in Basler shares and to make the share even more attractive for shareholders", explains Hardy Mehl, CFO.

A corresponding resolution proposal as well as the accompanying amendment of the articles of association will be submitted to the shareholders' meeting on May 16, 2019. This proposal includes an increase of the company's subscribed capital from Euro 3,500,000.00 million by Euro 7,000,000.00 million to Euro 10,500,000.00 million according to the provisions of a capital increase from company funds (section 207 et seq of the German Stock Corporation Act, AktG). The capital increase shall be carried out after the resolution by issuing 7,000,000.00 pieces of new no-par-value shares with a calculated proportion of the capital stock of Euro 1.00 per share. The new shares shall be issued in a ratio of 2:1; 2 bonus shares in addition to 1 held share. The new shares shall entitle the holders to partake in dividends as of January 1, 2020.

The capital increase will be conducted through a conversion into share capital of the revenue reserve amounting to Euro 7,000,000.00, which the management will submit for voting to this year's shareholders' meeting. The resolution on the capital increase from company funds is based on the company's annual financial statement as at December 31, 2018, approved by the supervisory board. This audited and approved annual financial statement is issued with an unqualified auditor opinion from the shareholders' auditor, the BDO AG Wirtschaftschaftsprüfungsgesellschaft, Lübeck.

With the supervisory board's approval, the management board is authorized to determine further details of the implementation of the capital increase.

The management board and the supervisory board has approved the agenda for this year's shareholders' meeting that will be published on April 8, 2019.
