SPORTTOTAL AG: Financing of international expansion of sporttotal.tv secured via external capital fund

Cologne, January 10, 2019. In future, SPORTTOTAL AG will be financing the national and international growth of the company's scalable digital business mainly by way of external capital: by taking these measures, the company is aiming to considerably accelerate its international development, while at the same time avoiding the dilution of shares currently held by SPORTTOTAL AG shareholders. To this end, a dedicated investment fund in the form of a "Reserved Alternative Investment Fund" (RAIF) will be established in Luxemburg. The Luxemburg based Fuchs & Associés Group will set up this RAIF and will bundle the capital contributed by Family Offices and high net worth individuals in several tranches, in order to provide SPORTTOTAL with these means in a targeted manner. Currently, the long term financing volume for the entire international expansion in various tranches is envisaged at up to EUR 250 million.

Disbursment of initial sub-fund already in February 2019
The initial sub-fund will be active in the near future, and already disbursed to sporttotal.tv GmbH in February 2019, with the aim of financing the Berlin Development Lab and the further expansion in Germany with additional means to the tune of a single-digit lower million euro range sum. In this context, a number of preliminary contracts have already been concluded. The initial RAIF sub-fund duration is seven years, while the annual interest rate stands at EURIBOR +8%. Subsequent to this period, the loans are to be repaid by sporttotal.tv from the generated cash flows. Driving the expansion in various international target markets, additional RAIF tranches are to be set incrementally and in a requirement-oriented manner. In future, the global growth of sporttotal.tv will be advanced by this new financing instrument, as well as by partnerships with various internation players, such as Fuchs & Associés Finance S.A., Luxemburg. The international business of sporttotal.tv will be managed by a separate company based in Luxemburg: SPORTTOTAL.tv International S.a.r.L., Luxemburg. The company will be founded as a joint venture of SPORTTOTAL AG, holding 51 percent, together with further partners, including the Fuchs & Associés Group, Luxemburg.
