TELE COLUMBUS COMPLETES SUCCESSFUL REFINANCING
Berlin, 30/04/2018. Tele Columbus AG, having its registered seat in Berlin,
Germany, (the "Company") announces that it has priced EUR 650 million in
aggregate principal amount of senior secured notes due 2025 (the "Notes") at
the offering price of 99.243% (plus accrued and unpaid interest from the
issue date, if any) with a cash coupon at 3.875% p.a. Due to high demand the
Company could increase the offer size by EUR 150 million from originally
contemplated EUR 500 million to EUR 650 million. The Company expects that
the Notes will be issued on May 4, 2018, subject to customary conditions.
The proceeds from the Notes, together with cash on hand, will be used to
repay a portion of the Company's senior credit facilities and to pay fees,
costs and expenses incurred in connection with the transaction. The Company
thereby successfully improves the maturity profile of its total indebtedness
and locks in attractive interest rates while diversifying its capital
structure and broadening its investor base.
The Notes have been offered only to qualified institutional buyers in
accordance with Rule 144A under the U.S. Securities Act of 1933, as amended
(the "Securities Act"), and to non-U.S. persons outside the United States in
accordance with Regulation S under the Securities Act and, if an investor is
a resident of a member state of the European Economic Area (the "EEA"), only
to an investor that is a qualified investor (within the meaning of Article
2(1)(e) of Directive 2003/71/EC, together with any amendments thereto,
including Directive 2010/73/EU, to the extent implemented in the relevant
member state (the "Prospectus Directive")).
