He emphasised that the Group's long-term orientation remains unchanged. In his statement, Abromeit addressed both the challenges faced by the Group in the past fiscal year and in the first three months of 2014 and the progress made during this period. He highlighted the ongoing expansion of the portfolio in the context of the Group's active acquisition policy, the internationalisation and the development of the existing investments. As part of this development strategy, INDUS is currently in the process of acquiring TR Metalltechnik GmbH, Eichenstruth, a specialist for laser and welding technology, as a strategic fit for the RÜBSAMEN investee company. After the takeover of the ROLKO Group and the acquisition of an investment in SAVVY AG, this is the third transaction in 2014. In the votes, the Annual General Meeting approved the proposals made by the Board of Management and the Supervisory Board, including a 10% increase in the dividend to EUR 1.10 per share. The total payout amounts to EUR 26.90 million, which is equivalent to a payout ratio of 47%. The shareholders also approved the creation of new authorised capital in the amount of EUR 31.8 million and elected Dr. Dorothee Becker, Managing Partner of Gebrüder Becker GmbH, Wuppertal, new member of the Supervisory Board; she received 99.4 % of the votes. Former Supervisory Board Chairman Burkhard Rosenfeld resigned from office at the end of today's ordinary Annual General Meeting in accordance with the Supervisory Board's rules of procedure. He no longer ran for office for reasons of age. "I sat on the Board of Management of INDUS for many years and actively advised the company in my capacity as Supervisory Board Chairman over the past years. I will always remain closely attached to the company and its employees, in particular," he emphasised. Helmut Späth, Chief Financial Officer and Vice Management Board Chairman of Versicherungskammer Bayern, was appointed new Chairman of the Supervisory Board. His loyalty to the company and his integrity as a manager and a member of the Supervisory Board always took centre-stage," said CEO Jürgen Abromeit. In his capacity as founding member of the Board of Management, Burkhard Rosenfeld was instrumental in building up INDUS between 1990 and 2006.
